Agreement to Terms

By accessing or using SuprAgent's services, website, or any related applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

Description of Services

SuprAgent provides AI agents that operate inside software and complete tasks on your behalf, by text or voice. Our Services include:

• App agents: an AI agent embedded inside your own app, carrying your brand, that plans and completes customer journeys such as onboarding, KYC, claims, payments, and setup
• UI agents: agents that read and act on a web interface, navigating, clicking, and filling forms, to carry out the tasks you ask of them
• The SuprAgent browser extension: a Chrome extension you use to build and configure your app agents and to run a configured agent on websites you choose

Account Registration

To use certain features of our Services, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Browser Extension

SuprAgent offers a Chrome browser extension that a signed-in user uses to build and configure their app agents and to run a configured agent (the "app agent") on websites they choose. Subject to these Terms, we grant you a limited, revocable, non-exclusive, and non-transferable license to install and use the extension for its intended purpose.

The extension is provided as part of the Services, and your use of it is tied to a valid SuprAgent account. We may update, suspend, or discontinue the extension at any time in accordance with these Terms.

Automated Actions and Your Authorization

By launching the agent on a website, you authorize SuprAgent to interact with that page on your behalf, including reading page content and performing actions such as navigating, clicking, and entering information, in order to carry out the tasks you request.

You are responsible for the instructions you give and the actions the agent takes at your direction, and for reviewing the outcomes, particularly for consequential actions such as submitting forms, completing transactions, or making changes to your accounts.

For certain sensitive steps, such as file uploads, CAPTCHAs, identity or biometric verification, and entering sensitive credentials, the agent prompts you to complete the step yourself rather than performing it automatically. You are responsible for completing those steps.

Use on Third-Party Websites

You may only run the agent on websites you have the right to access and use in this manner. You are responsible for complying with the terms of service, acceptable use policies, and applicable laws of any website on which you run the agent.

SuprAgent is not affiliated with or endorsed by the third-party websites you choose to run the agent on, and we are not responsible for those sites' content, availability, or how they respond to automated interaction.

Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful, threatening, or offensive content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use the Services for spam or unsolicited communications
• Reverse engineer or attempt to extract source code
• Use the Services to develop competing products
• Run the agent on any website in violation of that website's terms or acceptable use policies
• Access systems or data you are not authorized to access
• Perform fraudulent, abusive, or unlawful actions
• Circumvent security or access controls for unauthorized purposes

Voice Features

Voice input and synthesized speech are provided as part of the Services. By using them, you consent to the processing of your audio as described in our Privacy Policy.

Payment Terms

Our Services are billed on a per-conversation or per-minute basis depending on the product. By using our Services, you agree to:

• Pay all fees associated with your usage
• Provide valid payment information
• Allow us to charge your payment method for all fees incurred

All fees are non-refundable except as required by law or as explicitly stated in writing.

Intellectual Property

The Services and all content, features, and functionality are owned by SuprAgent and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit to the Services. By submitting content, you grant us a limited license to use, store, and process that content to provide the Services.

Data and Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection and use of information as described in our Privacy Policy.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The agent performs automated actions and may make mistakes. It is provided without any warranty that its actions will be accurate, complete, or suitable for a particular purpose. You are responsible for reviewing the agent's actions and their outcomes.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPRAGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

To the extent permitted by law, SuprAgent is not liable for the outcomes of actions taken by the agent on third-party websites at your direction.

Indemnification

You agree to indemnify and hold harmless SuprAgent and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or violation of these Terms.

Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SuprAgent is incorporated, without regard to its conflict of law provisions.
