Please Read Carefully: These Terms of Service govern your use of SuprAgent AI's platform and services. By using our Services, you agree to be bound by these terms.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and SuprAgent AI ("SuprAgent," "we," "our," or "us") regarding your use of our AI agent orchestration platform, website, APIs, and related services (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
2. Service Description
SuprAgent AI provides an AI agent orchestration platform that enables customers to:
- Deploy conversational AI agents for web, voice, and phone channels
- Utilize dynamic UI components within conversations
- Integrate with various AI models (proprietary and open-source)
- Configure workflows, integrations, and automations
- Access analytics and monitoring capabilities
- Self-host on customer infrastructure (Enterprise plans)
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By creating an account, you represent and warrant that you meet these requirements.
3.2 Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
3.3 Business Accounts
If you register an account on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
4. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services to transmit harmful, offensive, or illegal content
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the Services or servers
- Use the Services for spam, phishing, or fraudulent activities
- Reverse engineer, decompile, or attempt to extract source code
- Remove or modify any proprietary notices or labels
- Use the Services to create competing products or services
- Exceed rate limits or usage quotas without authorization
- Use the Services in ways that could harm minors
- Generate or distribute misleading AI-generated content without disclosure
5. Customer Data and Content
5.1 Your Data
You retain all rights to data you provide or generate through the Services ("Customer Data"), including agent configurations, conversation data, and user interactions. We claim no ownership rights to Customer Data.
5.2 License to SuprAgent
You grant SuprAgent a limited, non-exclusive license to use, process, and store Customer Data solely to provide the Services, improve platform functionality, and generate anonymized analytics.
5.3 Data Responsibility
You are responsible for:
- The accuracy, quality, and legality of Customer Data
- Obtaining necessary consents from end-users
- Complying with applicable data protection laws
- Providing required notices and disclosures to end-users
- Maintaining backups of critical data (we recommend regular exports)
5.4 Prohibited Content
Customer Data must not include content that is:
- Illegal, fraudulent, or deceptive
- Defamatory, harassing, or threatening
- Infringing on intellectual property rights
- Containing malware, viruses, or harmful code
- Violating privacy or data protection laws
6. Fees and Payment
6.1 Pricing
SuprAgent operates on a pay-as-you-go pricing model:
- Web Conversations: $0.10 per conversation
- Voice Agents: $0.30 per minute
- Custom Development: Custom quotes provided
- Enterprise Plans: Volume discounts and custom pricing available
6.2 Billing
Fees are billed monthly based on actual usage. You authorize us to charge your payment method for all fees incurred. Billing terms:
- Invoices are generated on the first day of each month
- Payment is due within 14 days of invoice date
- Late payments may incur interest charges (1.5% per month)
- We may suspend Services for non-payment after 30 days
6.3 Price Changes
We may change our pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of new pricing.
6.4 Refunds
Fees are non-refundable except as required by law or as specified in your Enterprise agreement.
7. Intellectual Property
7.1 SuprAgent IP
SuprAgent retains all rights, title, and interest in the Services, including all software, technology, content, trademarks, and intellectual property. These Terms grant you no rights except the limited license to use the Services.
7.2 License to Use Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
7.3 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us an unlimited, irrevocable license to use such feedback without compensation or attribution.
8. Third-Party Services
The Services may integrate with third-party services (AI models, CRMs, payment processors, etc.):
- You are responsible for complying with third-party terms of service
- We are not responsible for third-party service availability or functionality
- Third-party services are subject to their own pricing and policies
- You control which third-party services are used with your agents
9. Service Availability and Support
9.1 Service Uptime
We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime. Enterprise customers may have specific SLA terms.
9.2 Support
Support availability varies by plan:
- Pay-as-you-go: Email support during business hours
- Enterprise: Priority support with guaranteed response times
- Custom Development: Dedicated support channels
9.3 Changes to Services
We may modify, update, or discontinue features at any time. We will provide notice of material changes affecting existing functionality.
10. Warranties and Disclaimers
10.1 Limited Warranty
We warrant that the Services will perform substantially as described in our documentation. This warranty is void if issues result from misuse, modifications, or third-party integrations.
10.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Services will be error-free or uninterrupted
- AI-generated responses will be accurate or appropriate
- Defects will be corrected within a specific timeframe
- The Services will meet your specific requirements
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPRAGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.
Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amounts paid by you to SuprAgent in the 12 months preceding the claim, or $1,000, whichever is greater.
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless SuprAgent from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of applicable laws or third-party rights
- Customer Data or content you provide
- Your end-users' interactions with your agents
13. Term and Termination
13.1 Term
These Terms remain in effect for as long as you use the Services.
13.2 Termination by You
You may terminate your account at any time through your account settings or by contacting support. You remain responsible for fees incurred prior to termination.
13.3 Termination by SuprAgent
We may suspend or terminate your access immediately if:
- You violate these Terms or our Acceptable Use Policy
- You fail to pay fees when due
- Your use poses security or legal risks
- We are required by law to terminate
13.4 Effect of Termination
Upon termination:
- Your license to use the Services immediately ceases
- You must cease all use of the Services
- You have 30 days to export your data before deletion
- Outstanding fees become immediately due
- Provisions that should survive termination remain in effect
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to contact us at support@supragent.ai to attempt informal resolution.
14.2 Arbitration
Any disputes arising from these Terms shall be resolved through binding arbitration rather than in court, except where prohibited by law. The arbitration will be conducted in accordance with the rules of the American Arbitration Association.
14.3 Class Action Waiver
You agree that disputes will be resolved individually, not as part of a class, consolidated, or representative action.
14.4 Exceptions
Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.
15. General Provisions
15.1 Governing Law
These Terms are governed by the laws of [Jurisdiction TBD], without regard to conflict of law principles.
15.2 Entire Agreement
These Terms, together with our Privacy Policy and any Enterprise Agreement, constitute the entire agreement between you and SuprAgent regarding the Services.
15.3 Modifications
We may modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use after changes constitutes acceptance.
15.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
15.5 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
15.6 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right.
15.7 Force Majeure
We are not liable for failure to perform due to circumstances beyond our reasonable control (natural disasters, war, terrorism, pandemic, internet failures, etc.).
